DineLogic AI Founders Beta Giveaway

These Official Rules (“Rules”) govern the “DineLogic AI Founders Beta Giveaway” (“Contest”). By entering, you agree to these Rules and the decisions of the Sponsor, which are final and binding in all matters.

1. Sponsor

DineLogic AI (“Sponsor”), a California-based company. Website: https://www.dinelogic.ai. Contact: legal@dinelogic.ai.

2. Contest Period

The Contest begins on April 19, 2026 at 12:00 AM Pacific Time and ends on April 29, 2026 at 11:59 PM Pacific Time (the “Contest Period”). Sponsor’s computer is the official timekeeping device.

3. Eligibility

The Contest is open only to individuals who, at the time of entry:

• are at least eighteen (18) years of age and of the age of majority in their state of residence;
• are legal residents of one (1) of the fifty (50) United States or the District of Columbia;
• are the owner, co-owner, manager, general manager, or other authorized representative of an independent restaurant business operating three (3) or fewer locations in the United States (“Eligible Restaurant”); and
• are authorized to accept the Prize on behalf of the Eligible Restaurant.

Employees, officers, directors, contractors, agents, and representatives of Sponsor, its parents, subsidiaries, affiliates, advertising and promotion agencies, and the immediate family members (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and household members (whether related or not) of each are NOT eligible to enter or win.

Void where prohibited or restricted by law. All federal, state, and local laws apply.

4. How to Enter

During the Contest Period, visit the entry form linked from Sponsor’s Instagram and Facebook profiles and at dinelogic.ai. Complete and submit the form, providing all required information truthfully and accurately. This includes a written response (Q4) describing your restaurant, your story, and why you are seeking Sponsor’s Service. The written response is the primary basis for judging and is required.

Limit: one (1) entry per Eligible Restaurant. In the event of multiple entries from the same restaurant, only the most recent valid entry will be considered; all others will be disqualified. Automated or bulk entries are prohibited and will be disqualified.

Entries that are incomplete, illegible, corrupted, fraudulent, late, lost, misdirected, or that contain false information will be disqualified. No purchase, payment, or consideration of any kind is required to enter or win.

5. Prize

One (1) Grand Prize consisting of twelve (12) consecutive months of DineLogic AI Elite Package subscription service, including initial setup and onboarding services (“Prize”). Approximate Retail Value (“ARV”): $21,888 USD.

The Prize is non-transferable, non-assignable, and has no cash equivalent. No substitution of the Prize is permitted, except that Sponsor reserves the right to substitute a prize of equal or greater value if the advertised Prize becomes unavailable for any reason. Any portion of the Prize not accepted or used by the winner is forfeited.

The Prize does not include: hardware (e.g., tablets, POS integrations), third-party fees, SMS/telecom fees assessed by carriers, taxes, or any costs or expenses not expressly listed. The Prize period is twelve (12) consecutive months beginning on the date the winner’s account is activated following return of all required documents. At the end of the twelve (12) month Prize period, continued use of Sponsor’s Service requires a paid subscription at Sponsor’s then-current rates; the Prize will not automatically renew at no cost.

6. Judging and Winner Selection

This is a judged skill-based contest, not a game of chance. One (1) winner will be selected by a panel of judges designated by Sponsor, from among all eligible entries received during the Contest Period, based on the following judging criteria:

Judges will score each entry independently. In the event of a tie, the entry with the higher score on the written response (Q4) criterion will be declared the winner. Judges’ decisions are final and binding in all matters relating to the Contest. Odds of winning depend on the number and quality of eligible entries received.

7. Winner Notification and Claim Requirements

The potential winner will be notified by email and telephone on or around April 30, 2026, using the contact information provided at entry. The potential winner must respond to the notification and return all required documents within seventy-two (72) hours of the first notification attempt. Required documents include:

• a signed Affidavit of Eligibility, Liability Release, and (where lawful) Publicity Release;
• a completed IRS Form W-9;
• a signed Service Agreement Addendum governing the Prize service period; and
• any other documents Sponsor reasonably requires to verify eligibility or deliver the Prize.

If the potential winner (i) cannot be reached within seventy-two (72) hours of the first notification attempt, (ii) fails to timely return all required documents, (iii) is found to be ineligible, (iv) declines the Prize, or (v) is otherwise disqualified, the Prize will be forfeited and Sponsor may, in its sole discretion, select an alternate winner from among the remaining eligible entries based on the judging criteria, or may elect not to award the Prize.

8. Taxes

The winner is solely responsible for all federal, state, and local taxes (including income tax) arising from acceptance and use of the Prize. The Prize ARV of $21,888 will be reported to the Internal Revenue Service on IRS Form 1099-MISC issued to the winner for tax year 2026. The winner must return a completed and signed IRS Form W-9 to Sponsor before the Prize is delivered. Sponsor recommends that the winner consult a tax advisor.

9. Publicity Release

Except where prohibited by law, by entering, each entrant consents to Sponsor’s use of the entrant’s name, restaurant name, city/state, likeness (including photographs and video), Q4 written response, and any results or quotes arising from use of Sponsor’s Service, in advertising, publicity, and promotional materials worldwide, in any and all media now known or hereafter devised, for up to twenty-four (24) months following the winner announcement, without further notice, compensation, or approval. The winner will be required to sign a separate publicity release confirming this consent as a condition of Prize delivery.

10. Privacy

Information collected from entrants is used to administer the Contest and, by submitting an entry, each entrant consents to receive marketing communications from Sponsor. Entrants may unsubscribe from marketing communications at any time; unsubscribing does not affect Contest eligibility. Sponsor’s collection, use, and disclosure of personal information is governed by Sponsor’s Privacy Policy (https://www.dinelogic.ai/en/privacy) and the Contest-specific Privacy Policy Addendum. California residents have rights under the California Consumer Privacy Act / California Privacy Rights Act as described in those documents.

11. General Release of Liability

By entering, each entrant releases and holds harmless Sponsor, Meta Platforms, Inc., Instagram, Facebook, and each of their respective parents, subsidiaries, affiliates, officers, directors, employees, agents, and representatives (collectively, the “Released Parties”) from any and all liability, loss, or damage of any kind arising from or in connection with (i) participation in the Contest, (ii) acceptance, possession, use, or misuse of the Prize, or (iii) any Contest-related activity.

The Released Parties are not responsible for: (a) lost, late, incomplete, misdirected, damaged, delayed, illegible, garbled, or otherwise unreceivable entries; (b) technical, hardware, software, server, website, or telephone malfunctions or failures of any kind; (c) unauthorized human intervention; (d) any printing, production, typographical, mechanical, or other errors in any Contest-related materials; or (e) any injury or damage to any person or property that may be caused, directly or indirectly, in whole or in part, by the entrant’s participation in the Contest or acceptance or use of the Prize.

12. Disputes

By entering, entrants agree that: (a) all disputes arising out of or relating to the Contest, the Rules, or the Prize shall be resolved individually, without resort to any form of class action; (b) any and all claims shall be resolved exclusively in the state or federal courts located in the State of California, and each entrant consents to the personal jurisdiction and venue of those courts; (c) these Rules and the Contest shall be governed by the laws of the State of California, without regard to its conflict-of-laws principles; and (d) under no circumstances will any entrant be permitted to obtain awards for, and each entrant hereby waives all rights to claim, indirect, incidental, special, consequential, or punitive damages, or any damages other than out-of-pocket expenses, and all rights to have damages multiplied or otherwise increased.

13. Platform Disclaimer

This Contest is in no way sponsored, endorsed, administered by, or associated with Instagram, Facebook, or Meta Platforms, Inc. Entrants provide information to Sponsor, not to Meta.

14. Termination and Modification

Sponsor reserves the right, in its sole discretion, to cancel, suspend, or modify the Contest, or any entrant’s participation, if fraud, technical failure, or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Contest, as determined by Sponsor in its sole discretion.

15. Winners List

For the name of the winner, send a self-addressed stamped envelope to the Sponsor at the address provided upon request (email legal@dinelogic.ai) within sixty (60) days of the winner announcement.

16. Severability

If any provision of these Rules is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
